TERMS OF SALE AND WEBSITE USE

These Terms of Sale and Website Use (“Terms”) govern your access to and use of https://originpromo.com and any related pages, quotation services, communications, proofs, invoices, payment links, products, and services operated by Origin Promo Inc. (“Origin Promo,” “we,” “us,” or “our”), collectively referred to as the “Services.”

Please read these Terms carefully. By accessing the website, requesting a quote, approving a proof, submitting payment, placing an order, or otherwise using the Services, you agree to these Terms.

If you are acting for a company, school, nonprofit organization, government entity, team, or other organization, you represent that you have authority to accept these Terms on its behalf.

  1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order or submit payment through the Services.

The website is intended primarily for businesses, organizations, schools, teams, event planners, and adult purchasers. It is not directed to children under 13.

  1. PRODUCTS AND SERVICES

Origin Promo supplies promotional products, customized merchandise, printing, embroidery, engraving, decoration, sourcing, design assistance, packaging, fulfillment, and related services.

Product photographs, digital mockups, samples, dimensions, weights, materials, colors, and descriptions are provided to help customers evaluate available products. Actual products may have reasonable manufacturing variations in color, texture, size, weight, material, finish, decoration position, and packaging.

Product availability, colors, materials, decoration methods, minimum quantities, production schedules, and prices may change before an order is accepted.

We will not substitute a materially different product, material, color, or decoration method without the customer’s approval.

  1. QUOTES AND ORDER DOCUMENTS

A quotation is an estimate based on the information available when it is prepared. Unless the quotation states otherwise, it is not an accepted order and does not reserve inventory, production capacity, materials, or delivery dates.

A quote may include:

  • Product descriptions and quantities.

  • Unit and total prices.

  • Setup, artwork, sample, decoration, or rush charges.

  • Shipping, handling, duties, and taxes.

  • Production and transit estimates.

  • Payment requirements.

  • Product-specific tolerances and conditions.

An order becomes binding only after Origin Promo provides written acceptance or an order confirmation and receives any required deposit or payment.

Documents applying to an order may include the accepted quotation, order confirmation, invoice, purchase link, final approved proof, and written change orders. These documents are collectively referred to as the “Order Documents.”

If an Order Document conflicts with these general Terms, the Order Document controls for the commercial details of that order. Nothing in an Order Document or these Terms limits rights that cannot legally be waived.

Terms printed on a customer purchase order or other customer document do not modify these Terms unless Origin Promo expressly accepts those terms in a written agreement signed by an authorized representative.

  1. PRICING AND PAYMENT

Unless stated otherwise:

  • Prices are stated in U.S. dollars.

  • Taxes, shipping, duties, brokerage, customs charges, and special handling fees are additional.

  • Pricing is based on the quantity, product, artwork, decoration method, shipping destination, and schedule shown in the applicable quote.

  • A change to any of those details may require revised pricing.

We may correct an obvious typographical, calculation, or system error before accepting an order. If an error is discovered after payment, we will notify the customer and offer the choice to accept corrected pricing or cancel the affected order for a refund.

Payment is due as stated in the applicable Order Documents. We may pause artwork preparation, proofing, procurement, production, or shipment while a required payment is outstanding.

Payment information may be processed by Shopify, financial institutions, or other payment providers. Their terms and privacy notices may also apply.

Approved business credit terms, if any, must be confirmed in writing. Late charges may be assessed only if disclosed in advance and permitted by applicable law.

  1. TAXES

Customers are responsible for applicable sales, use, excise, value-added, customs, and similar taxes and charges, except taxes imposed on Origin Promo’s net income.

A customer claiming a tax exemption must provide valid and complete exemption documentation before invoicing or payment. We are not required to apply an exemption retroactively after an order has been processed, except where required by law.

  1. CUSTOMER ARTWORK AND INSTRUCTIONS

The customer is responsible for providing complete and accurate artwork, text, logos, names, dates, telephone numbers, website addresses, colors, quantities, sizes, shipping details, and other production instructions.

The customer represents that:

  • It owns or has permission to use all submitted artwork, logos, trademarks, photographs, text, and other materials.

  • The requested use does not infringe or violate another person’s intellectual-property, privacy, publicity, or other rights.

  • The requested content is not unlawful, deceptive, defamatory, obscene, hateful, or otherwise prohibited.

  • Any claims, certifications, warnings, or statements the customer asks us to reproduce are accurate and legally permitted.

We may decline or suspend work that we reasonably believe violates these requirements.

The customer grants Origin Promo and its production, technology, and fulfillment providers a nonexclusive, worldwide, royalty-free license to use, reproduce, resize, format, transmit, and adapt submitted materials only as reasonably necessary to prepare quotes and proofs, produce and deliver the order, provide support, maintain required business records, and comply with law.

Unless the customer separately gives permission, we will not use the customer’s logo or completed custom products in public advertising, portfolios, case studies, or social-media content.

  1. PROOFS AND APPROVALS

When a proof is required, production will generally not begin until the customer has approved the final proof in writing or through an approved electronic process.

Before approval, the customer must carefully review:

  • Spelling, grammar, names, dates, telephone numbers, and URLs.

  • Artwork, layout, placement, dimensions, and orientation.

  • Product, material, color, size, and quantity.

  • Decoration method and imprint colors.

  • Shipping address and requested delivery date.

Approval confirms that the proof accurately reflects the customer’s instructions.

Origin Promo is not responsible for an error that appeared clearly in an approved proof or resulted from incorrect information supplied by the customer. Proof approval does not excuse Origin Promo from delivering products that materially deviate from the approved proof or agreed specifications.

Computer screens and digital proofs may not reproduce physical colors, materials, textures, metallic finishes, embroidery, printing, or engraving exactly. A physical sample or production sample must be requested and approved if an exact physical reference is required.

Changes requested after approval may result in additional charges and a revised production or delivery schedule.

  1. PRODUCTION QUANTITIES AND TOLERANCES

Custom manufacturing and decoration may produce reasonable variations between units.

Any applicable overrun, underrun, color, size, placement, or production tolerance should be disclosed in the applicable quote, product specifications, or proof.

Origin Promo will not charge for an overrun or reduce an order for an underrun unless the applicable tolerance and billing method were disclosed and accepted before production.

Normal disclosed tolerances are not defects. Material departures from the approved proof, accepted product specifications, or disclosed tolerances will be addressed under the Refund, Cancellation and Claims Policy.

  1. CHANGES AND CANCELLATIONS

Before production or special procurement begins, we may allow an order to be changed or canceled.

The customer may be responsible for reasonable and previously disclosed costs already incurred, including design, setup, samples, artwork preparation, payment processing, special materials, procurement, or completed production work.

After final proof approval, special materials have been ordered, or production has begun, cancellation or modification may no longer be possible.

If we can stop an order, we will provide an accounting of reasonable, documented, and nonrecoverable costs. Any remaining refundable balance will be returned in accordance with the Refund, Cancellation and Claims Policy and applicable law.

If Origin Promo cancels an accepted order or cannot provide the agreed product and the customer does not accept a proposed alternative, we will refund the amount paid for the unfulfilled portion.

Nothing in this section limits a cancellation or refund right that cannot legally be waived.

  1. PRODUCTION AND SHIPPING SCHEDULES

Production time begins only after we receive all items required to proceed, which may include:

  • Required payment.

  • Complete artwork and specifications.

  • Final quantity, sizes, and product selections.

  • Accurate shipping information.

  • Written approval of the final proof.

The date on which all required items have been received is the “Order Ready Date.”

Production, shipment, delivery, and in-hands dates are estimates unless an Order Document expressly states that a particular date is guaranteed.

Purchasing expedited carrier service shortens carrier transit time only. It does not shorten production time unless rush production is also confirmed in writing.

We will maintain a reasonable basis for any shipment or delivery representation we make.

If we cannot ship within the promised period or within another period required by law, we will provide notice, a revised estimate when reasonably possible, and the opportunity to consent to the delay or cancel the affected unshipped portion for a prompt refund, as required by applicable law.

Carrier scans, tracking information, and delivery estimates are provided for convenience and are not guarantees by Origin Promo unless expressly confirmed in an Order Document.

Risk of loss and responsibility for the products will transfer as provided by applicable law and the accepted shipping terms. This provision does not eliminate Origin Promo’s responsibility for an approved claim involving our error, defective products, inadequate packaging, or a shipment issue for which we are legally responsible.

  1. DELIVERY INSPECTION AND CLAIMS

Customers should inspect products promptly after delivery.

Damage, shortages, incorrect products, decoration errors, or other nonconformities should be reported as soon as reasonably possible within the periods stated in our Refund, Cancellation and Claims Policy.

A claim should include, where applicable:

  • Order or invoice number.

  • Description of the issue.

  • Quantity affected.

  • Photographs or video of the products.

  • Photographs of packaging and shipping labels.

  • Any other information reasonably needed to investigate.

The customer should retain affected products and packaging while the claim is reviewed. Products should not be returned to a supplier, factory, or other address without written return authorization.

Reporting periods help us investigate claims and do not eliminate rights concerning latent defects or rights that cannot legally be waived.

  1. REMEDIES FOR VALID CLAIMS

After reviewing a valid claim, Origin Promo may, as appropriate:

  • Rework or correct the affected products.

  • Reprint or replace the affected products.

  • Provide a reasonable price adjustment.

  • Refund the amount paid for the affected products.

  • Offer another remedy agreed with the customer.

Origin Promo will pay reasonable return or replacement shipping costs when an approved claim resulted from our error, a manufacturing defect, or carrier damage for which we are responsible.

A remedy will generally apply to the affected portion of an order unless the problem materially reduces the value of the entire order.

  1. CUSTOM AND NON-CUSTOM PRODUCTS

Most products supplied by Origin Promo are sourced, printed, embroidered, engraved, assembled, packaged, or otherwise prepared specifically for the customer.

Custom or personalized products are not returnable solely because the customer changes its mind, no longer needs the products, ordered too many, or approved incorrect information.

This restriction does not apply to products that are materially defective, damaged, incorrect, misdescribed, or materially inconsistent with the approved proof or accepted Order Documents.

If Origin Promo expressly sells a standard, non-personalized product as returnable, the return conditions stated in the applicable product offer or Refund, Cancellation and Claims Policy will apply.

  1. WARRANTIES

Origin Promo warrants that, at delivery, products will materially conform to the accepted Order Documents within any disclosed tolerances and will be free from material manufacturing defects.

EXCEPT FOR THIS EXPRESS WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ORIGIN PROMO DISCLAIMS OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

These exclusions do not apply where prohibited by law and do not eliminate any warranty, consumer protection, or remedy that cannot legally be waived.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGIN PROMO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR REPUTATIONAL LOSS, ARISING FROM AN ORDER OR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGIN PROMO’S TOTAL LIABILITY ARISING FROM A PRODUCT, ORDER, OR SERVICE WILL NOT EXCEED THE AMOUNT PAID TO ORIGIN PROMO FOR THE AFFECTED PRODUCT, ORDER, OR SERVICE.

These limitations do not apply to liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, gross negligence, certain personal injuries, or violation of a non-waivable consumer right.

  1. CUSTOMER RESPONSIBILITY AND INDEMNIFICATION

To the extent permitted by law, the customer will defend, indemnify, and hold harmless Origin Promo and its officers, employees, contractors, and service providers from a third-party claim arising directly from:

  • Customer-supplied artwork or materials that infringe the third party’s rights.

  • Unlawful or misleading instructions supplied by the customer.

  • The customer’s material violation of these Terms.

This obligation does not apply to the extent a claim was caused by Origin Promo’s unauthorized modification or use of customer materials, negligence, willful misconduct, or violation of law.

We will provide reasonable notice of a covered claim and reasonable cooperation. The customer may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on Origin Promo without our written consent, which will not be unreasonably withheld.

  1. WEBSITE CONTENT AND INTELLECTUAL PROPERTY

The website and its non-customer content, including text, graphics, logos, interfaces, product organization, software, design, and compilations, are owned by or licensed to Origin Promo and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant users a limited, revocable, nonexclusive, nontransferable right to use the website for evaluating products, requesting quotes, placing orders, and managing their relationship with Origin Promo.

Users may not:

  • Copy, scrape, frame, republish, or commercially exploit website content without authorization.

  • Interfere with website operation or security.

  • Introduce malware or harmful code.

  • Attempt unauthorized access to accounts, systems, or data.

  • Use automated systems in a manner that creates an unreasonable burden.

  • Impersonate another person or misrepresent an affiliation.

  • Use the Services for fraudulent, deceptive, or unlawful activity.

  1. REVIEWS AND PUBLIC CONTENT

If you submit a review, photograph, video, comment, or other public content, you retain ownership of that content.

You grant Origin Promo and its review-service provider a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, and distribute the content for operating and promoting the Services.

You represent that the submitted content is truthful, based on a genuine experience, and does not violate another person’s rights or applicable law.

We may moderate, hide, or remove content that is fraudulent, unlawful, abusive, unrelated, contains sensitive personal information, or violates applicable review-platform policies. We will not alter an authentic review in a misleading manner.

  1. THIRD-PARTY SERVICES

Shopify hosts portions of the online store and may provide checkout, payments, analytics, accounts, and other technology.

Other providers may support reviews, communications, payments, fraud prevention, production, shipping, analytics, and advertising.

These providers may have separate terms and privacy notices. Shopify and other technology providers are not parties to the sale between the customer and Origin Promo unless expressly stated otherwise.

Links to third-party websites are provided for convenience. Origin Promo is not responsible for third-party content, security, availability, or privacy practices.

  1. PRIVACY

Our collection and use of personal information are described in the Privacy Policy available at:

By using electronic communications, you agree that transactional notices, proofs, invoices, order confirmations, and other records may be delivered electronically.

You may unsubscribe from marketing communications, but you may continue to receive non-marketing messages concerning an order, payment, account, security issue, or legal matter.

  1. FORCE MAJEURE

Neither party is liable for a delay caused by circumstances beyond its reasonable control, including natural disasters, severe weather, epidemic, war, terrorism, civil disturbance, government action, labor disruption, carrier interruption, utility or network failure, or material supply failure.

The affected party must use reasonable efforts to reduce the impact and provide notice when practical.

A force-majeure event may extend an estimated schedule, but it does not eliminate legally required delay notices, cancellation rights, or refund obligations.

If an order cannot be completed within a revised schedule accepted by the customer, the parties may cancel the uncompleted portion. Origin Promo will refund amounts paid for products or services that will not be supplied, less any separately agreed and legally permissible nonrecoverable costs.

  1. SUSPENSION AND TERMINATION

We may suspend or terminate access to the Services for fraud, unlawful activity, security threats, nonpayment, misuse, or material violation of these Terms.

Suspension or termination does not automatically cancel an accepted order or eliminate payment, refund, warranty, confidentiality, intellectual-property, or other obligations that should reasonably survive.

  1. GOVERNING LAW AND VENUE

These Terms and any dispute arising from or relating to the Services or an order are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights concerning venue or jurisdiction, any lawsuit arising from these Terms, the Services, or an order must be brought in:

  • A state court of competent jurisdiction located in Los Angeles County, California; or

  • The United States District Court for the Central District of California, when federal jurisdiction exists.

Each party consents to the personal jurisdiction of those courts.

If you are a consumer, this section does not deprive you of any mandatory protection or right to bring a claim in another forum when applicable law provides that right.

  1. CHANGES TO THESE TERMS

We may update these Terms periodically by posting a revised version and changing the “Last Updated” date.

Changes apply prospectively. They will not retroactively alter the commercial terms of an order that was already accepted unless the parties agree in writing or a change is required by law.

Continued use of the website after updated Terms become effective constitutes acceptance of the updated website-use provisions.

  1. GENERAL TERMS

These Terms, together with the accepted Order Documents and policies expressly incorporated into them, constitute the entire agreement concerning their subject matter.

A failure to enforce a provision is not a waiver.

If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

The customer may not assign an accepted order without our written consent, except as part of a transfer of substantially all of its business or assets.

Origin Promo may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the Services, subject to applicable law.

Headings are provided for convenience and do not change the meaning of these Terms. The word “including” means “including without limitation.”

Electronic records, approvals, and signatures may be used to the extent permitted by applicable law.
